THIS END-USER LICENSE AGREEMENT ("EULA") IS A LEGAL AGREEMENT BETWEEN YOU AND BigLogic Inc. ("LICENSOR"). BY ACCESSING, INSTALLING, OR USING THE WEB APP (PWA), THE ANDROID APPLICATION (TWA), AND THE BROWSER EXTENSION (COLLECTIVELY, THE "SOFTWARE"), YOU AGREE TO BE FULLY BOUND BY THE TERMS OF THIS AGREEMENT.
1. License Grant
The Licensor grants you a limited, non-exclusive, non-transferable, revocable, and personal license to use the Software solely on compatible devices owned or controlled by you, for your personal or authorized internal business use.
2. Channel-Specific Terms
You acknowledge that the usage and delivery methods vary by platform:
- PWA (Progressive Web App): Accessed via a web browser and installable on your home screen. It requires an active internet connection for certain functionalities.
- TWA (Trusted Web Activity): Distributed via the Google Play Store. You agree to comply with the Google Play Terms of Service in addition to this EULA.
- Browser Extension: Installed via official stores (e.g., Chrome Web Store, Firefox Add-ons). The extension interacts with web pages strictly within the limits described in our Privacy Policy.
3. Restrictions on Use
You expressly agree that you will not, and will not permit others to:
- Modify, translate, reverse engineer, decompile, or disassemble the source code of the Software or any of its components (including extension scripts).
- Bypass any technical restrictions, authentication systems, or API rate limits enforced within the Software.
- Redistribute, rent, lease, sublicense, or transfer the extension or app packages to third parties outside of the official distribution stores.
- Use the Software for any unlawful purpose or to transmit malware, viruses, or malicious code.
4. Data Privacy and Secure Storage
The Licensor is committed to protecting your data. Any personal data, configuration settings, or usage metrics collected by the Software (including local storage within the browser extension or cloud synchronization via the PWA/TWA) are processed and stored using industry-standard legal, technical, and organizational security measures. This includes encryption in transit (HTTPS/TLS) and at rest where applicable, to prevent unauthorized access, loss, or alteration of your information.
5. Third-Party Data Sharing
The Licensor does not sell your personal data. However, you acknowledge and agree that the Software may transmit certain data to third-party service providers (such as analytics tools, hosting providers, or payment processors) strictly to ensure the proper functionality, maintenance, and optimization of the Software. All such third parties are contractually bound to process your data securely and in full compliance with applicable data protection laws.
6. Cookies and Tracking Technologies
The Software utilizes cookies, local storage tokens, and similar tracking technologies to authenticate users, remember user preferences, and analyze app performance across the PWA, TWA, and Browser Extension. By using the Software, you consent to the use of these essential and analytical cookies. You can manage or disable cookie preferences through your browser settings, though doing so may limit certain functionalities of the Software.
7. Updates and Modifications
The Licensor reserves the right to deploy automatic updates to the browser extension, PWA, and TWA to improve performance, enhance security, or add features. Your continued use of the Software following any update constitutes your acceptance of those changes.
8. Intellectual Property, Copyright, and Source Code Ownership
The Software, including but not limited to its source code, object code, underlying algorithms, user interfaces, visual design, text, graphics, trademarks, and associated content, is the exclusive property of BigLogic Inc. and is protected by Canadian and international copyright, trademark, and intellectual property laws.
The source code is a valuable trade secret of BigLogic Inc. No ownership rights, titles, interests, or intellectual property rights are transferred to you under this Agreement. BigLogic Inc. reserves all rights not expressly granted to you.
9. Termination
This Agreement remains effective until terminated. The Licensor may suspend or terminate your license to use the Software at any time, without prior notice, if you fail to comply with these terms. Upon termination, you must immediately uninstall the browser extension, remove the PWA/TWA, and cease all use of the Software.
10. Limitation of Liability and Disclaimer of Warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT THE EXTENSION WILL OPERATE UNINTERRUPTED IN THE EVENT OF THIRD-PARTY BROWSER UPDATES. IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE.
11. Governing Law and Jurisdiction
This EULA shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to its conflict of law principles. Any legal action or proceeding arising under this EULA shall be brought exclusively in the courts located in Calgary, Alberta, Canada.
